Someone did port 8139too to 2.2.x kernels: 
http://gtf.org/garzik/kernel/files/rtl8139too-2.2-diffs.gz  However,
since I've been focusing on 2.4.x that diff (against 2.2.16) is
completely unreviewed and untested.

It is possible to take the 8139too.c driver in 2.4.x and drop it into a
2.2.x kernel... with a little coding.  The kcompat24 toolkit
(http://gtf.org/garzik/drivers/kcompat24/) is designed to do that, but
it doesn't yet do network drivers.
